1. Acceptance of Terms

By accessing or using NeuroAGI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. The Service is operated by NeuroAGI Inc., located at 525 3rd Avenue, Suite 102, Longmont, Colorado 80501.

2. Description of Service

NeuroAGI is a cognitive intelligence platform that analyzes content through its proprietary neural processing engine. The Service provides two tiers of functionality:

Free Tier — Neural Activation Mapping. Users may submit public video URLs for cognitive analysis. NeuroAGI's engine processes the video's audio and visual content to generate brain-region activation visualizations and 3D neural renderings at no cost.

Paid Tier — Intelligence Analysis (Pro). Subscribers gain access to NeuroAGI's full intelligence analysis layer, which includes: AI-powered conversational analysis of scan results, transcript-grounded creative recommendations, neuroscience-contextualized explanations, personalized content strategy feedback, unlimited AI chat, full context management, the NeuroAGI Score with insights, real-time Live Signals, and voice transcription capabilities.

The Service may also include intelligence briefings, personalized action plans, and other features as described on our website.

3. What You Are Paying For

When you subscribe to NeuroAGI Pro, you are purchasing access to NeuroAGI's proprietary intelligence analysis service. This service includes our cognitive neural engine, our curated knowledge base, our AI-powered interpretation engine, our personalized recommendation system, and our conversational analysis tools. Subscription fees cover the infrastructure costs of operating the Service, including cloud computing, GPU processing time, data storage, and bandwidth required to deliver scans and analysis.

You are not purchasing, licensing, or gaining access to any underlying model weights, training data, or proprietary source code. All intellectual property related to NeuroAGI's cognitive engine remains the exclusive property of NeuroAGI Inc.

4. Intellectual Property & Technology

The Service is powered by NeuroAGI's proprietary cognitive intelligence engine, which may incorporate third-party infrastructure, APIs, and computing resources as components of its processing pipeline. These integrations are used in accordance with their respective terms of service.

All analysis outputs, intelligence insights, neural activation visualizations, recommendations, and interpretive content are produced by NeuroAGI's proprietary systems and remain the intellectual property of NeuroAGI Inc.

NeuroAGI does not redistribute, sublicense, or provide access to any underlying technology, model architecture, or processing methodology as a standalone product.

5. Eligibility

You must be at least 18 years old to use the Service. By creating an account or using NeuroAGI, you represent and warrant that you meet this age requirement.

6. User Accounts

When you create an account, you agree to provide accurate and complete information. You are responsible for all activity under your account and for maintaining the security of your login credentials. NeuroAGI Inc. reserves the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

7. Content You Submit

You retain ownership of any content you submit to the Service, including video URLs and conversation inputs. By submitting content for analysis, you grant NeuroAGI Inc. a limited, non-exclusive license to process that content solely for the purpose of providing the Service to you.

You represent that you have the right to submit any content you provide and that such submission does not violate any third-party rights, applicable laws, or platform terms of service.

8. Subscription & Billing

NeuroAGI Pro is offered as a recurring monthly subscription at the price displayed at the time of purchase. Payment is processed securely through Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

NeuroAGI Inc. reserves the right to change subscription pricing with 30 days' advance notice to existing subscribers.

9. Intellectual Property

All content, features, functionality, branding, design systems, intelligence briefings, and proprietary analysis methodologies of the Service are owned by NeuroAGI Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use NeuroAGI's trademarks, logos, or brand identity.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. NeuroAGI provides informational analysis and creative guidance based on AI processing and aggregated research. It does not constitute financial, legal, medical, or professional advice.

Neural activation visualizations represent computational pattern predictions and are not medical diagnostic tools. They should not be interpreted as clinical neuroscience assessments.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NeuroAGI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to your use of the Service.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Boulder County, Colorado.

13. Changes to Terms

NeuroAGI Inc. reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
